Terms of Service

These Terms of Service ("Terms") form a binding electronic contract between you and Mindknot Labs, an entity operating from Gurugram, Haryana, India. By creating an account or using Mindknot you accept these Terms. If you do not agree, do not use the Service.

These Terms are published in accordance with Rule 3(1)(a) of the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and constitute an electronic record under the Information Technology Act, 2000. They do not require a physical or digital signature.

1. Eligibility

You must be at least 18 years old and competent to contract under the Indian Contract Act, 1872.

2. Account

You are responsible for your credentials and for activity on your account. Notify us promptly of any unauthorised use.

3. Acceptable use

You agree not to use the Service to: violate any law in force in India; infringe intellectual property; transmit content that is obscene, defamatory, harassing, harmful to a child, or otherwise prohibited under Rule 3(1)(b) of the Intermediary Rules; reverse engineer the app; or interfere with its operation.

4. Your content

You retain ownership of Spills you create. You grant Mindknot a limited, worldwide, royalty-free licence to host, transcribe, process, and display your content solely to provide the Service.

5. Subscriptions and payments

  • Mindknot Pro is offered as an auto-renewable subscription.
  • Prices are inclusive of applicable GST unless stated otherwise.
  • Subscriptions purchased on iOS or Android are billed and managed by Apple or Google. Cancellation must be done in those stores.
  • Subscriptions purchased directly renew until cancelled in your account settings.

6. Refunds

For App Store and Play Store purchases, refunds are handled by Apple and Google under their policies. For direct purchases, refund requests within 7 days of payment may be honoured at our discretion in line with the Consumer Protection Act, 2019.

7. Service availability

We aim for high availability but do not guarantee uninterrupted operation. We may modify, suspend, or discontinue features with notice where reasonably practicable.

8. Medical and professional disclaimer

Mindknot is a personal organisation and journaling tool. It is not a medical device and does not provide medical, psychological, legal, or financial advice. If you are in distress, please consult a qualified professional or contact iCall (9152987821) or Vandrevala Foundation (1860-2662-345).

9. Intermediary status

Mindknot is an "intermediary" within the meaning of Section 2(1)(w) of the IT Act, 2000 with respect to user-generated content. We act on lawful takedown notices in accordance with Section 79 of the IT Act and the Intermediary Rules.

10. Limitation of liability

To the maximum extent permitted by Indian law, our aggregate liability arising out of or relating to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or INR 1,000, whichever is higher. We are not liable for indirect, incidental, or consequential losses.

11. Indemnity

You agree to indemnify Mindknot Labs against claims arising from your breach of these Terms or your unlawful use of the Service.

12. Termination

We may suspend or terminate accounts for breach of these Terms or as required by law. You may delete your account at any time from the app.

13. Grievance Officer

For complaints, contact our Grievance Officer at grievance@mindknot.app. Acknowledgement within 24 hours; resolution within 15 days, per Rule 3(2) of the Intermediary Rules, 2021.

14. Governing law and jurisdiction

These Terms are governed by the laws of India. Subject to mandatory consumer protection rights, the courts at Gurugram, Haryana shall have exclusive jurisdiction over any dispute. Disputes may, at our option, be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated at Gurugram, in English.

15. Changes

We may amend these Terms. The "Last updated" date will reflect changes. Continued use constitutes acceptance.
